This Agreement shall terminate at the end of the evaluation period, or immediately if Licensee breaches any of the terms, conditions or covenants of this Agreement. Licensee agrees that Licensor retains exclusive right, title and interest in and to the Software and Software Products, and any modifications and enhancements thereto, and all copies or portions thereof, including, but not limited to all intellectual property rights therein. All applicable rights to patents, copyrights, trademarks and trade secrets in the Software and Software Products, and any residuals, modifications and enhancements thereto, shall at all times remain the property of Licensor or its licensors.

Licensee agrees not to conceal from view any copyright, trademark or confidentiality notices placed on the Software, Software Products or any output generated by the Software and to reproduce all copyright, trademark or confidentiality notices on all copies of the Software and Software Products made by Licensee, as permitted hereunder. By entering into this Agreement, Licensee agrees use of Ancillary Software is subject to all other limitations and warranty disclaimers regarding the Software and applicable Ancillary Software license terms and conditions which may be included in updates if any.

If, in the absence of a protective order, the receiving party is compelled as a matter of law to disclose Confidential Information, the party will use reasonable efforts to disclose only the Confidential Information that is required by law to be disclosed.

Confidential Information shall remain the sole property of the disclosing party or its respective licensor.
